Covidien has a better peripheral vascular sales force. Medtronic leads with coronary and picks up whatever peripheral they can get.

BUT at the higher levels - AVP's, Verriers --- they aren't needed. Medtronic has the structure in place to completely fold-in Covidien Peripheral Vascular sales.

MDT can get rid of a 1/3 of the regionals and 90% of AVP & VPs off the top. Save Millions and Millions, corp offices all over & the flight dept (they always get sacked first), mansfield and loads of crap most don't even know exists.
Crap like pulse ox will be bid out to the highest bidder (GE or Philips) and respiratory too (who would bother to buy it?). I think the other descriptions are pretty much dead on, including the part about this stopping Cov from buying other good companies and ruining them.

You must be special. Most of us aren't fortunate enough to have sufficient stock grants and RSUs like the knuckleheads in Mansfield that can retire on the gains. These guys could give two shits about people. They want their vig.

Leadership is quiet because they don't want business disrupted. If you think they don't have a list of businesses already lined up and target numbers of people to cut, I have a bridge to sell you. That was done WAY ahead of the deal and helped drive valuation. Do not trust one word out of their mouths.

When they RIF, there's going to be less warning than you think and the scale will be such to cause a glut in the market. They don't care if the timing isn't convenient for you, they have financial targets to hit. What if it's the end of year? Not much hiring from mid-November to mid-end January. You may not have noticed but the job market is tougher than it was 5 years ago. Many of us would like land jobs with ethical companies that act in patients' best interests and bask in the light of competent leadership.

You mean just like Tyco? Only way that will happn is if all the shitty Tyco leadership is cut loose.

Business model and culture didn't change one bit from Tyco to Covidien. Leadership just tried to distance itself from the anathema of Tyco when Covidien was spun off.

Isn't Respiratory one of the best divisions?
 












I don't think there is much to worry about IF you are in a profitable division.
MDT is looking very long term with this deal and isn't likely to sell off anything until they get a very good lay of the land. This looks to be a step toward market domination and building the entire portfolio for a better position for single source contracting. I would worry more if I wasn't an MDT or Covidien rep.
There is no "tax evasion" in the deal, in fact, the IRS will get more taxes from MDT than they could before. I hear Covidien approached MDT with this deal, not the other way around.

Would love to see Valleylab get sold/spun off to CR BARD, GETTINGE, OR INTEGRA LIFESCIENCE. Would be really sweet. A great fit for any of these non-gargantuan firms.

And of course with a likely sale/spinout of RMS it appears the "umbellica cord" between RMS & Valleylab is about to be severed permanently.
