Merck just bought us...To be announced on Monday

Merck bought Schering for their Pipeline and got screwed as most of Schering's Billion Dollar pipeline never got approved by the FDA. They also got stuck with an excess of people even after the layoffs. They are just doing small acquisitions where they cant hurt too bad as Cubicin is already a Billion dollar drug. People cost too much, they have factored everything in as this Buyout is for drugs only. They have no room or interest in 500 reps making 120k a year. Merck is not thin, they are rep heavy as they have many drugs losing patent protection soon. When Schering got bought and all reps got canned in 2010, Schering negotiated a deal of 4 weeks for every year for their reps. The few reps that hung on the next few years got 2 weeks for every year. Merck is Big Pharma and Big Pharma sucks. If you are lucky to be kept, they will find a way to squeeze you out. GL All.

Many of the comments you will see are from Primary Care Reps, who have experienced significant reductions. Earlier this year, our CEO mentioned that the sales force was 65% PC, and 35% Hospital, and that the goal was to switch those two %'s due to the changing landscape of healthcare. Also, one of the four main focus areas for the company moving forward is Hospital Acute Care, which means acquiring you makes perfect sense.

I know that I would be concerned if I were you, but here is how I see it. Our Acute Care products combined will not be even close to $1 billion for 2015. If we were to add only Cubicin, we would have to expand our sales force to some degree. Not too mention to accomodate pipeline products. I dont think the Schering layoffs are a good comparison. Their products at the time, especially in hospital, were not good, and PC was co-promoting Zetia and Vytorin. You will come in with a very focused customer base with much stronger products.

There will be layoffs on both sides eventually, but our Hospital Acute Care salesforce is lean. Many of us have to do multiple overnights per week due to large geographies. Your larger salaries will be hurt, but as I mentioned on a previous post, our team averages more than 16 years of Merck tenure, so we dont make chump change.

Merck fired 85% or more of the Schering sales reps when they were purchased. If history is any indication you might be on a similar trajectory.
 












Please Cubist Reps, listen to me (Schering Rep). What ever you do, if a current rep from Merck tells you not to worry, they are just ignorant. These are reps that have no selling skills, let alone people skills. They are only concerned with themselves and have been Merck robots forever with no personalities. Whether you take their buyouts of Schering and other companies as comparison is up to you. Merck is no different than Pfizer. They have horrible pipelines, management, marketing and scientists. The FDA put the taboo on these companies, that's why they don't get anything significant approved. Mercks biggest drugs are vaccines and Schering's/JNJ Remicade. They will use their value of their stock to buy other smaller companies pipelines. Astra's pipeline was thin and they recently bought diabetes franchise from BMS. Merck was so kind in their last takeover that they eliminated every Schering executive and most of the sales. Merck is bad news. Btw, this past year Merck hospital reps lost benefits of company cellphones and internet reimbursement.

Nobody has accepted shit yet and nobody knows what the severance is going to be or if they will reduce our salaries if we go and work for them. I seriously doubt that. And I seriously doubt that they are going to fire 50-75% of the salesforce. There is absolutely no proof of that. You do realize that the Officers and Board of Cubist have a fiduciary responsibility to engage with offers that drive value to the stockholder. They may have even previously set a threshold that requires them to bring forth any deal over $100/share. It will be up to the stockhders whether to approve the deal. GS, RP, MB aren't "doing this." If anything, blame Merck for starting this process so close to the holidays (these talks don't take months, they happen quickly), but Merck was obviously trying to get their offer in before the PDUFA date.

Is that why the head of hospital sales, faliveno, is a former schering person dumbass? Also Merck's biggest drug is Januvia. I guess pointing out facts is bad people skills.
 






I heard from my manager that even though Merck is buying us, the consolidated company in the US will be Cubist. Kinda like what happened with Roche and Genentech. Merck will be Merck globally, but the company will be known as Cubist in the US.
