Mallinckrodt is a hot acquisition target because of the HQs in Ireland that shaves 15% off the U.S. Corporate tax rate. When you're talking a few billion $ of revenue, that's a lot of spare change and dividend gains for shareholders.

That's why Pfizer is so hot to trot for AZ. Dodge billions of U.S. taxes with a HQs in Great Britain. That's a lot of chutzpah on Pfizer's part after they tapped billions of $ from U.S. tax payers via the TARP fund loans meant to keep banks afloat during the real estate crash and using the funds to acquire Wyeth. They then proceeded to gut the company, layoff 85% of the workforce and put those folks on the unemployment lines...which is also underwritten and funded by U.S. taxpayers.

Everyone would have been better off if the D.O.J. had ordered the breakup of Pfizer instead of billions in fines for their serial and ongoing off-label marketing of their drugs. They have raped domestic taxpayers and now they will get their billions of $ of fines back from Uncle Sam by dodging the IRS with their buyout of AZ and moving their HQs from NY to Great Britain. Freakin unbelievable!

Mallinckrodt is nothing but a sleazy company. They started in St. Louis and saying they are a Dublin, Ireland based company is such a fraud. All to evade taxes. They want the general public to assume this company originated in Ireland. Just keeping watching that stock though because the Mylan deal will go through. Take Cadence for example. They have announced they are keeping the San Diego office open for the commercial team. You are talking maybe 25 people. Why would a company spend all that money to keep a California office open? This other deal is going through. They are keeping everything in place for now as they don't want a lot of people quitting before they suck all the information out of them.

If Pfizer can't close on the AZ deal, look for big blue to pick off MNK for it's Dublin HQ address and the 15% tax inversion savings vs the US rate predicated on their NY HQ address.

Pfizer would acquire XXR, Ofirmev, Acthar Gel product lines and quickly pull the plug on the Ventiv contract, sell off the MNK US HQs and real estate holdings, pink slip all MNK employees and leverage the Dublin HQs as a tax haven. MNK would be a historical footnote and join Wyeth, King, Parke-Davis among others in the lost civilizations category.

What wrong with giving some encouragement that things may turn out good bbut if they don't give your fellow man some encouragement because we will all have trials if we are forced out of this company.
