What people are distressed about is that the owner of a home, unbeknownst to the true owners, let it fall into complete disrepair for personal gain. So much so that many of the tenants moved out, with the remainder staying and wondering how long until the roof fell in. To distract the neighbors and the owners from what was going on he bought the house next door, a beautiful property with many additions from the growth of the family that lived there.
The tenants of this beautiful home are very concerned that what happened next door, is going to happen to their house, one that took many years to build.
And it will.

You're trying way to hard to be spooked by the merger. Take a step back, strip away your shitty analogies, and look at it for what it is: two world-class organizations combining to eat ~7% of the market's net value. Not too shabby and there's room to grow.
Calm down, dry your tears, and either find a way to be useful or get out of the way.

Read 1:12-cv-10316 US v Biomet in its entirety. This was first filed in 2012 but nothing changed and if anything the desperation to sell product was more pronounced moving forward. Policy did not change and the managers certainly weren't following rules-but then again there are no rules. Biomet doesn't practice litigation avoidance because it's more profitable in the end to commit False Claims, Anti-Trust, Bribery etc, hire attorneys then pay everyone off than it is to be ethical. All your questions will be answered regarding the merger outcome if you read this case.
The merger will happen but for those that wonder about culture and polices and how deep and dirty they can go to close a deal with a doctor. Biomet's lack of code of ethics will rule. Read it and weep. Or be joyful. It depends on your values.
