His longtime "independent director", John Brancaccio, was just awarded 50,000 shares at 50 cents apiece. Brancaccio is Jacob's bagman going back to the day's of Pawfect Foods, the defunct online gourmet dogfood company. He is so "independent" that he has appeared on the board of every one of Jacob's ill-fated ventures: Callisto Pharmaceuticals, ContraVir, Trovagene, Synergy, ... and he is even a director of the next Jaco/Cerrone scam-in-waiting, Rasna Thereapeutics. (Conveniently located right upstairs at 420 Lexington Ave. and chaired by none other than the former Chief Scientific Officer of Synergy, the distinguished Kunwar Shahlubhai.)

A simple Google search shows that on 4/2/18 John B was awarded 50K shares for 50 cents. He is also a board director at all the companies mentioned above. Wish I had that strike price! What’s a “bagman”?
 




It’s interesting to compare it to SGYP's board vs IRWD’s board. The most striking difference is that the IRWD board is truly independent. Aside from Hecht, the CEO, the board members are all outsiders and heavyhitters. The chairman is Terrance McGuire, the co-founder of Polaris Partners, a $4.8 billion fund specializing in biotech startups. At SGYP, the executive chairman is none other than good old Gary himself. The board includes Troy Hamilton, Jacob's stand-in, Thomas Adams and John Brancaccio, Jacob flunkies going back to Pawfect Foods days, and a few new arrivals who take their annual stock gift and immediately sell it. Aside from Jacob and Brancaccio, none of them own a single share. The Ironwood directors all own 60,000 - 70,000 shares. In fact, to align their interests with the shareholders', they are prohibited from ever selling a single share until they leave the board. This is an illustration of the difference between New York City petty hustlers and Boston probity.
