Cardinal Health Inc. (CAH) plans to spin off its faster-growing, higher-margin clinical and medical-products segment as a separate public company, and Cardinal Health's chairman and chief executive will retire as part of the move.
With the tax-free spinoff, which Cardinal expects to complete by the middle of 2009, the company aims to unlock shareholder value that has been bound by its sluggish core drug-distribution operation.
The new company has several competitors in the U.S. and abroad, including Hospira Inc. (HSP), Omnicell Inc. (OMCL) and Fresenius Medical Care AG & Co. (FMS). It will be one of the largest stand-alone medical technologies companies in the world, and number one in its product lines in most markets, according to Cardinal, which will not hold a stake in the business.
"This would be the largest company in the world that is focused on medication management and infection prevention," Schlotterbeck told Dow Jones. Medication management involves "the safe delivery of medications to hospital patients," making sure that they're getting the right dosage at the right time through the right route, he said.
