Inspire Announces Grants under NASDAQ Marketplace Rule 5635

DURHAM, N.C. -- May 11, 2010

Inspire Pharmaceuticals, Inc. (NASDAQ:ISPH) announced today the approval of
non-qualified stock option (“Options”) and restricted stock unit (“RSUs”)
grants to Inspire’s Executive Vice President and Chief Administrative and
Legal Officer, Andrew I. Koven, pursuant to NASDAQ Marketplace Rule
5635(c)(4).

On May 10, 2010, Inspire granted Mr. Koven the Options to purchase 200,000
shares of Inspire’s common stock. The Options have an exercise price of $6.22,
which was the closing price of Inspire’s common stock on the NASDAQ Global
Market on the day of the grant.

In addition, Inspire has agreed to grant 500,000 RSUs to Mr. Koven as soon as
practicable following registration of the shares of common stock underlying
such RSUs.

Twenty-five percent of the shares of common stock subject to the Options
vested and became exercisable on May 10, 2010. Fifty percent of the RSUs will
immediately vest and be non-forfeitable on the grant date. 2.0833% of the
shares of common stock subject to the Options will vest and become exercisable
and 1.38889% of the shares of the RSUs will vest and become non-forfeitable,
as applicable, on the first day of each of the first 36 calendar months that
begins after May 10, 2011. The grants are outside Inspire's equity incentive
plans and were awarded to Mr. Koven in accordance with his acceptance of
employment with Inspire.
 












Stock price AA's first day (2/19/10): $6.32/share
Merck buys ISPH for $5/share
He, Koven, and all the gang personally make millions through big cash salaries/bonuses and lavishment of loads of restricted shares, while shareholders lose 21%. Someone needs to stop these guys before they go and do this yet again elsewhere.

Total: $6,452,000 (NOT including salary/other bonuses, etc.- which will add significantly)

Assuming 150 Inspire employees, Adams/Koven RSU compensation=

$43,013 PER INSPIRE EMPLOYEE

Now, do the following math:

Your stock options exercisable value + your RSU value + your retention bonus...

If your COMBINED number totals more than $43,013, you're probably one of very few. Again, that number is their combined RSU value only- not additional compensation.
 






Ouch... don't show that to the people that aren't gonna get offers.

You'll probably see most of the TM's you've worked with. Prepare yourself to say goodbye to those you've worked for.
 






It'd be less of a douchebag move if we were all getting more than we are......... the retention money being less than what was shown and misrepresented for when we'd get it (like when we're sold) is bull#$$@! Everyone but those two have to eat it! AA bait and siwitched us
