    Pfizer set to buy Allergan for more than $150 billion

    Pfizer Inc (PFE.N) was due to secure formal board approval on Sunday for its acquisition of Botox maker Allergan Plc (AGN.N) for more than $150 billion, creating the world's biggest drug maker, according to people familiar with the matter.

    The deal, the largest ever in the healthcare sector, is sure to draw political ire in a U.S. presidential election year because Pfizer would redomicile to Ireland, where Allergan is registered, in a so-called "inversion" that would slash its corporate tax rate.

    It will also reignite debate in the pharmaceutical industry over the role of research and development, with Allergan Chief Executive Brent Saunders, a prolific dealmaker and a skeptic of in-house drug discovery, joining the combined company in a position to influence its strategy.

    This is really scary. Some on this board think that Amgen is "too big" to be acquired.

    We have all led ourseleves to believe that the JnJ rumor is just that, a rumor. This announcement suggests that it could be possible.

    All kidding aside, is JnJ knocking at the door?

    Step one: Combine Pfizer Inc. and Allergan PLC into the largest pharmaceutical company in history. Step two: Break it up again.

    That’s the potential move that Pfizer executives are pondering, even as they’re pulling back the curtain Monday on their proposed $155 billion merger with Allergan . In fact, it was a move they had already been weighing even before they contemplated the Allergan deal.

    For years, Pfizer Chief Executive Ian Read has been telling investors that he intends to split his company into two parts, one with patented-protected “innovative” drugs and the other with “established” drugs that have lost their patent protection or are close to losing it. In fact, he’d told investors previously that a decision on the potential split could come as soon as 2016.

    Now, however, that timetable is being pushed back. When it formally announced the Allergan deal Monday–in a press release that used the word “innovative” 16 times–Pfizer said it would take another two years.

    “As a result of the combination with Allergan and subsequent integration of the two companies, Pfizer now expects to make a decision about a potential separation of the combined company’s innovative and established businesses by no later than the end of 2018,” the statement said.

    If JnJ doesn't buy us, then Pfizer will in 2018. It will get our biosimilars and then new drugs, then split Amgen after combining.

    Looks more like Wednesday after markets close. Egos at both JnJ and Amgen did not want the fanfare to get lost behind the Pfizer/Allergan announcement today. The holiday will act as a one day buffer from Wall Street over reaction.

    More to come as I hope to have insight into some of the specifics on November 23. One new wrinkle to the deal will be a sell-off of the Kyprolis asset due to a potential stranglehold in MM with Janssen's portfolio.

    Look for Gilead to jump on this one to bolster their portfolio. It is possible that Blyncyto may be rolled into this deal as well to make it more attractive. Also note that the other Onyx asset, oprozomib, is dead in the water. I'll let you know more details as soon as they emerge, - SB

    Idiot. If this merger goes through, Pfizer will have Amgen's biosimilars, the oncology biosimilars. Or at least the right to them. Allergen came from Activis which came from Watson mergers. Amgen partnered with Watson on oncology biosimilars back in 2011.

    That is the reason behind the timing. Announce after the markets close the day before Thanksgiving. Friday is a slow trading day, so the hope is that there is not a significant overreaction by the Street. A number of calls took place this AM to discuss P/A merger and impact. There is some concern about certain TAs as previously reported, meaning its highly likely that Kyprolis will be sold off to a 3rd party, -SB
